The ethical code adopted by the Sapio Group guides every choice, action, and relationship according to the principles of legality, transparency, ethics, and respect, in utmost alignment with the company’s values. Sapio operates with the goal of creating value for customers, suppliers, employees, and the community, actively committing to the preservation and protection of environmental resources.
The Sapio Group is aware of the importance for society and the social significance of its activities and is inspired by the ethical principles outlined in its own Ethical Code, compliance with which is required of all involved parties.
The Sapio Group firmly believes that adherence to ethical principles is an indispensable requirement for sustainable growth, considering its image and reputation as values that must be safeguarded and developed as a common asset through the widespread, shared, and observed dissemination of the ethical principles and behaviors contained in the Ethical Code.
The organizational, management, and control model, adopted in accordance with Legislative Decree 231 of 2001, integrates the Ethical Code and serves as an operational tool for implementing the principles outlined therein.
Ethical Code of Conduct of the SAPIO Group
The definition of the “Ethical Company” which BioRep, a company of the Sapio Group, uses is the result of a precise strategic choice which only partially summarizes the complex set of principles that are daily found in management, production, commercial, research and Group development.
Ethical and behavioral principles shape the Group’s relationship with staff and third parties and characterize the performance of equity activities.
Since its foundation, BioRep has recognized energy savings, respect for the environment, compatible development, the importance of integration with the country’s social life, commitment to training and support for the school system, in the interaction of technological support to the Public Administration, essential guiding elements from the strategic choices, also present in the smallest daily actions.
Organization, Management, and Control Model pursuant to Legislative Decree 231/01
The Decree, containing the “Discipline of the administrative liability of legal persons, companies and associations, even without legal personality”, introduced into the Italian legal system a regime of administrative liability for entities (to be understood as companies, associations, consortia, etc.) for crimes that are exhaustively listed and committed in their interest or advantage: by natural persons who hold representation, administration or management functions for the companies themselves or for an organizational unit with financial and functional autonomy, as well as by individuals who exercise, even de facto, the management and control of the companies themselves, or by natural persons subject to the direction or supervision of one of the subjects indicated above. The liability of the Company is added to that (criminal and civil) of the natural person, who materially committed the crime.
Based on the provisions of the Decree, the body to which to entrust the task of supervising the functioning, efficacy and observance of the organizational management and control models as well as of updating them must be an internal body of the Company (art.6 , paragraph 1, letter B, of the Decree) and different from the Board of Directors.
